1. 引言
1.1. 目的
本 Risk Disclosure Statement（「Statement」）由 Vertex1 Brokers Limited（「Vertex」、「the Company」）依据 Financial Services Commission (FSC) of Mauritius 发布的 Securities (Licensing) Rules 2007 向您提供。
1.2. 范围
本文档旨在告知您交易 CFDs 及本公司提供的其他 financial instruments 所涉及的潜在财务风险。它无法披露此类交易的所有风险及其他重要方面。您应确保理解您所进入的交易性质及您所面临的风险程度。
2. 工具性质 (CFDs)
2.1. 衍生品性质
CFDs 是复杂的 derivative products。当您交易 CFD（例如 Apple CFD 或 Gold CFD）时，您并不拥有 underlying asset，对 underlying asset 也不享有任何权利（如 voting rights 或 physical delivery）。您与 Vertex 订立合同，交换 underlying asset 在交易开仓与平仓之间价格的差额。
2.2. 执行场所
CFDs 交易不在 recognized exchange（如 NYSE 或 LSE）上进行。它们是在本公司 platform 上执行的「Over-The-Counter」 (OTC) 交易。这意味着您面临本公司及其 Liquidity Providers 的 counterparty risk。
3. 杠杆与保证金风险
3.1. 杠杆效应 (Gearing)
以保证金交易涉及使用「Leverage」。Leverage 使您能够以相对较小的 deposit 控制较大头寸。
示例：Up to 1:200 Leverage
⚠️ 虽然 leverage 可以放大您的利润，它同样会放大您的损失。价格小幅不利变动可能导致资本重大损失。
3.2. Margin Call 与 Stop Out
监控您的 account balance 是您的责任。若市场走势对您不利，您可能需要立即存入额外资金以维持 open positions。
Stop Out：若您的 Equity 低于所需的 Margin Level (30%)，本公司的 system 将以当前市场价格自动平仓您的 positions，以防止进一步损失。这可能导致 loss 的实现。
4. 市场风险
4.1. 波动
Financial markets 可能高度 volatile。价格可能因 economic events、geopolitical news、central bank decisions 或 unexpected news（「Black Swan events」）而在较宽范围内快速变动。Vertex 无法控制这些变动。
4.2. Slippage
订单执行价格可能与您下单时在 platform 上看到的价格不同。这称为 Slippage。
- Slippage 常发生在 high volatility 或 low liquidity 期间（例如 news releases 期间）。
- Slippage 可能为正（对您有利）或为负（对您不利）。
4.3. Gapping
Market prices 可能「Gap」（从一个价格显著跳至另一个价格，中间无交易），尤其在 weekends 或 market holidays 期间。
Risk：若发生 gap，您的 Stop Loss order 可能无法以您请求的价格执行，而将以 next available price 执行（「Gapping Risk」）。这可能导致比您预期更大的 loss。
5. 特定资产风险
5.1. Cryptocurrencies
交易 Cryptocurrencies 的 CFDs（例如 Bitcoin、Ethereum）涉及特定风险：
- Extreme Volatility： Crypto assets 可能在数分钟内经历 massive price swings。
- Unregulated Underlying： Underlying crypto markets largely unregulated，易受 manipulation 或 exchange failures 影响。
- Weekend Trading： 虽然 Vertex 提供 24/7 crypto trading，weekends 期间 liquidity 可能较薄，导致 wider spreads 和 potential slippage。
5.2. Emerging Market Currencies
交易「Exotic」 currency pairs 风险较高：
- Lower Liquidity： Exotic pairs（例如 USD/ZAR、USD/TRY）与 Major pairs (EUR/USD) 相比 spreads 更宽。
- Political Risk： Emerging economies 的政治不稳定可能导致 sudden、drastic currency devaluation。
6. 技术与 Platform 风险
6.1. System Failure
Electronic trading 可能受到 hardware、software 和 internet connectivity 故障的影响。
- Client Side： 若您的 internet connection 失败，或您的 computer 冻结，您可能无法平仓 losing position。Vertex 不对您端 equipment failure 导致的 losses 承担责任。
- Company Side： 虽然 Vertex 维护 robust backup systems 和 servers (Equinix LD5/NY4)，total system failure 仍有可能发生。
6.2. Communication Delays
由于 internet latency，orders 传输或 price updates 接收可能出现 delays。这可能影响 order execution prices 和 timing。
7. PAMM 风险
7.1. No Guarantee
若您使用 PAMM (Percent Allocation Management Module) features，您承认 past performance 不保证 future results。过去 profitable 的 Strategy Provider 未来可能亏损。
7.2. Execution Risk
Master account 中执行的交易会在您的 account 中复制。然而，由于 latency 或 market volatility，您 account 中的 execution price 可能与 Master account 略有不同。
7.3. Independence
Strategy Providers 为 independent third parties，并非 Vertex 的员工。Vertex 不对 Strategy Providers 的 trading skill 进行 vetting，也不对其 trading decisions 负责。
8. 流动性与成本
8.1. Liquidity Risk
在特定 market conditions 下，可能难以或无法 liquidate position。若 underlying market 暂停交易或 liquidity 不足，可能发生此情况。
8.2. Cost of Trading
在开始交易之前，您应获取您将承担的所有 commissions、spreads 及其他 charges 的详情。
Swaps：若您 overnight 持有 positions，可能产生「Swap」（interest）charges，长期持有可能超过 trade 的 profit。
8.3. Currency Risk
若您交易的 instrument 计价货币与您的 Account Base Currency 不同，转换回 Base Currency 时，您的 profit 或 loss 将受到 exchange rate fluctuations 的影响。
9. Client Money 与 Insolvency
9.1. Segregation
Vertex 将 Client Money 存放在与本公司 funds 分开的 segregated trust accounts 中。然而，若持有资金的 banking institution 发生 insolvency，您可能无法 recover 全部 funds。
9.2. Third-Party Funds
本公司可能将收到您的资金传递给 third party（例如 intermediate broker、settlement agent 或 OTC counterparty）以 effect transaction。适用于任何 such third party 的 legal 和 regulatory regime 与 Mauritius 不同，若该 third party 发生 insolvency，您的资金可能被 differently treated。
10. 税务与法律
10.1. Tax Liability
您须对 trades 产生的任何 taxes 和/或其他 duty 负责。Vertex 不提供 tax advice。Tax laws 可能变更。
10.2. No Advice
Vertex 以 execution-only basis 提供服务。我们不提供 investment advice。若您不理解所涉及的风险，应向 independent financial advisor 寻求 advice 和 consultation。
